ADVERTISER AGREEMENT

This AGREEMENT made and entered into this day of , 20 , by and between CHART MARKETING, INC. dba POSM, hereinafter referred to as (“Company”), and
(Legal Name of Entity),  hereinafter referred to as (“Advertiser”), hereinafter collectively referred to as the (“Parties”). Company will provide video programming and commercials, with and/or without audio, on its POSM Infotainment Network, at different business locations throughout the Greater Wichita Area, during each location´s open hours of operation, during the term of this AGREEMENT, hereinafter referred to as (“Services.”) Advertiser desires for Company to provide Services. For these Services and for the mutual considerations noted below, the Parties AGREE that Company will place the below-specified advertisement (s) on behalf of Advertiser, on the POSM Infotainment Network. Advertiser does hereby AGREE to pay the below specified sum (s) to Company, in accordance with the terms and conditions hereunder.

TERMS & CONDITIONS:

  1. Company will deliver a minimum of 126,000 gross impressions per month, per zone, for Advertiser (2 advertisements per hour, for an average of 12 open hours, at up to 25 locations per zone, to an average of 7 viewers, each day for 30 days, or the equivalency).
  2. All advertisements are run of schedule. No fixed position is guaranteed unless specified above and made a part of this AGREEMENT.
  3. All advertisements received by Company must be telecast ready. Company will invoice any charges incurred by Company on behalf of Advertiser in preparation of advertisement or materials for Advertiser.
  4. All invoices are due upon receipt by Advertiser and will become past due 30 (thirty) days from the date of invoice. All amounts due that remain unpaid at 45 (forty-five) days from date of invoice will be assessed a 1.5% (one and one-half percent) finance charge, 18% (eighteen percent) per annum). Invoices will be pro-rated for periods shorter than a calendar month.
  5. Minimum contract period is 30 (thirty) consecutive, calendar days.
  6. Contracted advertising space may only be cancelled with 30 (thirty) days written notice by Advertiser to Company. If contracted advertising space involves promotional consideration, and is cancelled prior to fulfillment, all promotional credits will become due upon the effective date of cancellation.
  7. Any waiver by Company of any breach of any provision of this AGREEMENT shall not operate or be construed to be a waiver of any subsequent breach of any provision of this AGREEMENT.
  8. The undersigned individual, for value received, guarantees: (1) the Advertiser, as named above, is the entity responsible for payment; and (2) that he/she has the authority to sign for and on behalf of the Advertiser; and (3) personally guarantees payment of the Advertiser named above in accordance with the terms hereunder.
  9. This AGREEMENT contains the entire AGREEMENT of the Parties with respect to its subject matter and supersedes any and all prior or contemporaneous negotiations, understanding, or agreements. This AGREEMENT may not be changed except in writing signed by the Parties.
  10. All charges for advertisements and production are net to Company.
  11. Regular rates for advertisements are commissionable to approved advertising agencies. Production rates are non-commissionable.
